BYLAWS
of the

THE BUTLER COUNTY SADDLE CLUB, Inc.

ARTICLE I
Name

The name of this Club shall be THE BUTLER COUNTY SADDLE CLUB, Inc.

ARTICLE II Objective

The objectives of the Club shall be educational, social and recreational, as stated in the "ARTICLES OF INCORPORATION".

ARTICLE III Membership

SECTION 1. MEMBERSHIP IN THE CLUB shall have the obligation of working for the furtherance of the objectives of the Club. A member shall:

1.  Participate in meetings.

2.  Assist with the maintenance of the property.

3.  Serve on committees.

4.  Assist with all events sponsored by the Club.

5.  Obey the rules of the Club.

6.  By-Laws are available on Club Website (www.bucosaddleclub.com) or a printed version will be provided upon request.

SECTION 2. Any person shall be eligible for membership in the Club, upon filling out the membership application form and the payment of the proper dues. Dues shall be set by the Club.

SECTION 3. Family membership shall include all unmarried children under the age of 21. Single membership shall be for one person, 18 years of age or

older.                                            Amended 4/7/1992

SECTION 4. Points will not start to accumulate until Membership is paid in full for the year._

SECTION 5. Upon the recommendation of one member, seconded by another member and a 3/4 vote, Honorary Life Membership or Lifetime Membership may be conferred upon an adult resident of the area, who shall have rendered notable service to the Club.

An Honorary Member shall have none of the obligations of membership in the Club, but shall be entitled to all the privileges except those

of holding office.

SECTION 6. Any member proven not to be in good standing shall be dismissed from the Club upon a 30 day written notice and a 3/4 vote. All dues

shall be forfeited.

ARTICLE IV
Officers

SECTION 1. There shall be eight (8) or nine (9) officers: President, Vice President, Secretary, Treasurer and/or Secretary/Treasurer and five (5) directors.

*This allows the Secretary and Treasurer position to be held by one person.

SECTION 2. No member shall hold more than one office at a time.

*Clarification: If a member hold the position of Secretary/Treasurer that becomes one office.

SECTION 3. The officers shall be elected by ballot and serve for a term of one (1) year or until their successors are elected. The term of office shall start January 1st after the Annual meeting at which they are elected.

SECTION 4. Voting age of members shall be 18 years of age, except on those issues of importance to the younger members of the Club, then the voting age shall be 10 years of age. The membership may vote on the voting age

of the members any time it is deemed necessary for the benefit of the Club.

SECTION 5. The vacancy of any office, except that of President, shall be filled by election. The office of President shall be filled by the Vice-President.

SECTION 6.An officer may be removed from office if found negligent of duty, upon a 30 day written notice of the charges, and a 3/4 vote by the Club,

SECTION 7. Any officer, wishing to resign may do so upon a 30 day written notice to the Board prior to the resignation.

ARTICLE V
Duties of the Officers

SECTION 1. The President of the Club shall preside at all meetings, shall see that the direction of the Club are implemented, shall appoint the committees, shall be ex-officio member of all committees, shall execute,

or cause to be executed, any contract of the Club as authorized and shall be a member of the Board. After serving the term(s) of office the President shall serve one(1) term as a Director.

SECTION 2. The Vice President shall act for the President in his absents, in the event of a vacancy of the office of President, the Vice-President

shall fill that vacancy for the remainder of that term. The

Vice-President shall perform all lawful duties assigned by the President, and shall be a member of the Board.

SECTION 3. The Secretary shall be the record keeper of the Club and shall maintain all the records of the Club as prescribed by the parliamentary authority and the requirements of the Corporate Law(s) and shall be a member of the Board.

SECTION 4. The Treasurer shall keep a full and accurate account of all receipts and disbursements of the Club; shall deposit all money and other valuables in the name of and to the credit of the Club in such depository

 

 

as designated by the board; shall render to the Club a complete accounting of all transactions upon request; shall disperse the funds of the Club upon the lawful order of the President; shall present a written report at each meeting to the Secretary; shall perform such lawful duties as prescribed by the President, and shall be a member of the Board.

SECTION 5. The Directors shall be officers of the Club and shall be members of the Board.

A. Any director missing three consecutive meetings without notice to the Board, shall be automatically removed from the Board and the Board shall elect another member to serve the remainder of the term.

ARTICLE VI
Meetings

SECTION I. The regular meeting of the Club shall be held once a month; the place and time shall be set by the members of the Club.

SECTION 2. The December meeting shall be known as the ANNUAl MEETING and shall be for the purpose of the election of officers, receiving reports of the officers, committees and for any other business that may arise.

SECTION 3. Special meetings may be called by the President, the Executive Board, or the written request of 5 members of the Club. The purpose of the special meeting shall be stated in the call and at least three days notice shall be given, except in the case of an emergency.

 

ARTICLE VII
Executive Board

SECTION I. The four officers of the Club, the out going President, and four elected members shall constitute the Executive Board. amended 1/4/1995

SECTION 2. The Executive Board shall be the. administrators of the Club, and shall serve as a ruling committee over any matter not covered by the

Bylaws and shall be responsible for the continuousness of the Incorporation. No act of the Board shall conflict with the lawful action of the Club.

SECTION 3: The Executive Board shall meet as often as deemed necessary to conduct the business of the Club.

 

ARTICLE VIII
Committees

SECTION I. If deemed necessary an Auditing Committee of 3 members shall be appointed by the President promptly after the Annual Meeting. The duty of the committee shall be to audit the financial account(s) of the Club quarterly. The financial account(s) must be audited at the end of the year.
